These Website Terms of Use (these “Terms”) govern access to and use of the website(s) operated by Fuelex (Fuelex Energy FZCO) and its subsidiaries and affiliates, a company organized in the United Arab Emirates with its registered address at Dubai Airport Free Zone, East Wing, Building 6E-A, Office 818, P.O. Box 54401, Dubai, United Arab Emirates (“Fuelex” or “we” or “us” or “our”), including any content, features, tools, portals, and services made available through the website (collectively, the “Site”).

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

  1. Who We Are; What the Site Does

Fuelex operates a fuel procurement and related services business. The Site is provided for informational purposes and, where enabled, to support communications and business inquiries with Fuelex.

Important: The Site is not a marketplace for retail consumers. The Site does not constitute an offer to sell or a solicitation to buy fuel or other products.

  1. Eligibility; Business Use

You represent and warrant that:

    • you are at least 18 years old and have the legal capacity to enter into these Terms;
    • you are using the Site for business or professional purposes;
    • if you use the Site on behalf of an entity, you have authority to bind that entity, and “you” includes that entity.
  1. Changes to the Site and the Terms

We may modify the Site or these Terms at any time. Changes are effective when posted on the Site (or as otherwise stated). Your continued use of the Site after changes are posted constitutes acceptance.

  1. Privacy and Cookies

Our collection and use of personal data is described in our Privacy Notice and Cookie Notice located at https://fuelex.energy/privacy-policy (together, the “Privacy Notices”). You agree that the Privacy Notices form part of these Terms.

  1. Account Registration and Security

If any portion of the Site requires an account:

    • you will provide accurate and complete information and keep it up to date;
    • you are responsible for maintaining the confidentiality of your credentials and for all activities under your account;
    • you will notify us promptly of any suspected unauthorized access or use.

We may suspend or terminate accounts, or restrict access, at any time to protect the Site, Fuelex, users, or third parties.

  1. Acceptable Use

You will not, and will not attempt to, directly or indirectly:

    1. use the Site in violation of any applicable law or regulation;
    2. interfere with, disrupt, degrade, or compromise the integrity or security of the Site, systems, or networks;
    3. attempt to gain unauthorized access to any portion of the Site, other accounts, or related systems;
    4. use any robot, scraper, crawler, or other automated means to access the Site or extract data (except as expressly permitted in writing by Fuelex);
    5. upload, transmit, or introduce viruses, malware, or other harmful code;
    6. engage in fraudulent, misleading, or deceptive conduct;
    7. use the Site to send unsolicited communications (spam) or to harvest contact information;
    8. copy, reproduce, modify, translate, distribute, publicly display, publicly perform, transmit, sell, sublicense, or create derivative works from the Site or its content, except as expressly permitted under these Terms;
    9. reverse engineer, decompile, or disassemble any portion of the Site except to the extent such restriction is prohibited by applicable law;
    10. use the Site to violate the rights of others (including intellectual property, privacy, or confidentiality rights).
  1. Intellectual Property

7.1 Ownership

The Site and all content on it (including text, graphics, logos, icons, images, audio/video, code, and the arrangement thereof) are owned by Fuelex or its licensors and are protected by intellectual property laws.

7.2 Trademarks

“Fuelex” and all related names, logos, product and service names, designs, and slogans are trademarks of Fuelex or its affiliates or licensors. You must not use these marks without our prior written permission.

  1. User Submissions

If you submit or provide any information, materials, or content via the Site (including inquiries, feedback, documents, or other communications) (“Submissions”):

    1. you represent and warrant you have all rights necessary to provide the Submissions;
    2. you grant Fuelex a worldwide, non-exclusive, royalty-free license to use, reproduce, display, perform, distribute, and create derivative works of the Submissions to operate, improve, and provide the Site and our business (including responding to inquiries and providing services);
    3. unless expressly agreed in a written contract, Submissions are not confidential and may be used by Fuelex without restriction.
  1. No Professional Advice; Informational Nature

The Site may include information about fuel procurement, logistics, ports, markets, compliance topics, or operational considerations. The content is provided for general information only and does not constitute legal, financial, tax, sanctions, compliance, engineering, or other professional advice. You should obtain professional advice tailored to your situation.

  1. Third-Party Links and Services

The Site may contain links to third-party websites or services. Fuelex does not control and is not responsible for third-party content, policies, or practices. Your use of third-party sites is at your own risk and subject to their terms.

  1. Sanctions, Export Controls, and Compliance

11.1 Compliance Commitment

You agree to comply with all applicable trade, export control, customs, and sanctions laws and regulations relating to your use of the Site and any interactions with Fuelex.

11.2 Restricted Parties and Countries

You represent and warrant that neither you nor (if applicable) your affiliates, directors, officers, employees, agents, or beneficial owners are:

    • a person or entity that is the target of sanctions administered by the United Nations, the United Arab Emirates, the United States, the United Kingdom, the European Union, or any other relevant authority (collectively, “Sanctions”); or
    • located in, organized under the laws of, or ordinarily resident in a country or territory that is comprehensively sanctioned where dealings are broadly prohibited.

11.3 Prohibited Use

You will not use the Site or any information obtained from the Site to facilitate transactions that would violate Sanctions or export controls. Fuelex may block or restrict access to the Site where required or advisable to comply with applicable law.

  1. Anti-Bribery and Anti-Corruption

You agree not to offer, promise, authorize, give, or accept anything of value (directly or indirectly) to improperly influence any act or decision, secure an improper advantage, or induce conduct that violates applicable anti-bribery or anti-corruption laws (including UAE laws and, where applicable, the UK Bribery Act and the US Foreign Corrupt Practices Act).

  1. Disclaimers

13.1 Site Provided “As Is”

To the maximum extent permitted by applicable law, the Site and all content are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and freedom from viruses.

13.2 No Warranty for Commercial Outcomes

Fuelex does not warrant that any inquiry, request, or communication made through the Site will result in a quote, supply, transaction, performance level, delivery timeframe, or any particular commercial outcome.

13.3 Content May Be Out of Date

Information on the Site may be changed or updated without notice and may be out of date at any given time.

  1. Limitation of Liability

To the maximum extent permitted by applicable law:

  1. Indirect Damages. Fuelex will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for loss of profits, revenue, business, contracts, goodwill, data, or anticipated savings, arising out of or related to the Site or these Terms, even if advised of the possibility of such damages.
  2. Fuelex’s total aggregate liability arising out of or relating to the Site or these Terms will not exceed USD 100 (or the equivalent in local currency).
  3. Basis of Bargain. The limitations in this Section reflect the allocation of risk between the parties.
    Some jurisdictions do not allow certain limitations of liability; in that case, the above limitations apply to the fullest extent permitted.
  4. Indemnity

You will indemnify, defend, and hold harmless Fuelex and its affiliates and each of their directors, officers, employees, and agents from and against any claims, demands, suits, proceedings, damages, losses, liabilities, penalties, fines, costs, and expenses (including reasonable legal fees) arising out of or related to:

    • your use of the Site;
    • your breach of these Terms;
    • your Submissions;
    • your violation of any law or the rights of a third party.
  1. Suspension and Termination

We may suspend or terminate your access to the Site (including any account) at any time, with or without notice, if we reasonably believe you have violated these Terms, pose a security risk, or if required for legal or compliance reasons.

Sections that by their nature should survive will survive termination, including Sections 7 (Intellectual Property), 8 (User Submissions), 11 (Sanctions, Export Controls, and Compliance), 12 (Anti-Bribery and Anti-Corruption), 13 (Disclaimers), 14 (Limitation of Liability), 15 (Indemnity), and 19 (Governing Law and Dispute Resolution).

  1. Confidentiality

The Site may provide access to non-public information (including commercial, technical, operational, or security-related information). You will keep that information confidential and use it only for your legitimate business interactions with Fuelex, unless:

    • it is or becomes public through no fault of yours;
    • you lawfully obtained it from a third party without breach of confidentiality;
    • disclosure is required by law, regulation, or court order (in which case, where lawful, you will give Fuelex prompt notice and reasonably cooperate to seek protective treatment).

Separate NDAs or commercial agreements may apply and will control in the event of conflict.

  1. Electronic Communications; Notices

18.1 Electronic Communications

You agree that we may communicate with you electronically (including via email, the Site, or other digital means) and that such communications satisfy any legal requirement that communications be in writing.

We may update these details by posting changes on the Site.

  1. Governing Law; Dispute Resolution; Venue

These Terms and any dispute or claim arising out of or relating to the Site or these Terms will be governed by the laws of England and Wales, without regard to conflict of laws rules.

The courts of Dubai International Financial Centre will have exclusive jurisdiction, and you submit to the personal jurisdiction of those courts.

  1. International Use

The Site is controlled and operated from the UAE (or other locations determined by Fuelex). We make no representation that the Site is appropriate or available in all jurisdictions. You are responsible for compliance with local laws to the extent they apply.

  1. Miscellaneous

21.1 Entire Agreement

These Terms (together with the Privacy Notices and any other policies expressly incorporated by reference) constitute the entire agreement between you and Fuelex regarding the Site.

21.2 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

21.3 No Waiver

Any failure by Fuelex to enforce any provision of these Terms is not a waiver.

21.4 Assignment

You may not assign or transfer these Terms without Fuelex’s prior written consent. Fuelex may assign these Terms without restriction.

21.5 Force Majeure

Fuelex will not be liable for any delay or failure to perform due to events beyond its reasonable control.
